These Terms of Service ("Terms") form a binding agreement between you ("Client," "you," or "your") and Zen Operations LLC, doing business as Telnora Web Studio ("Telnora Web Studio," "we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Our Services
Telnora Web Studio provides the following services:
- Software audits and Studio builds
- Custom Studio builds (consolidated business platforms)
- Data migration from existing tools and subscriptions
- Automation and AI workflow development
- Ongoing Studio management, updates, and support
- Studio Intelligence features (AI chat, insights, smart follow-ups)
- Hosting services through partner providers
- Client project management via our client portal
Service details are described in proposals, scopes of work, or your client portal.
2. Client Responsibilities
You agree to:
- Provide accurate, timely project information
- Supply content, credentials, and media assets as needed
- Ensure all provided materials are legally owned or licensed
- Respond promptly to requests, approvals, and feedback
- Maintain active subscription payments for ongoing Studio management
- Keep client portal access secure and confidential
We are not responsible for delays caused by missing information or late approvals.
3. Payments
- All payments are processed exclusively through Stripe.
- Affirm may be available for eligible payment plans.
- Studio management subscriptions bill automatically on a monthly basis.
- Work begins only after required payments or deposits are received.
- Failed or late payments may result in service suspension.
4. SMS Terms of Service
By opting into SMS from a web form, phone call, or other medium, you agree to receive SMS/text messages from Telnora Web Studio. This includes messages for:
- Customer care and support
- Account notifications
- Appointment reminders
- Project updates and service alerts
Message Frequency & Rates
- Messaging frequency may vary based on your account activity and preferences.
- Message and data rates may apply depending on your mobile carrier plan.
Opt-Out & Help
- To opt out at any time, reply STOP to any message.

5. Refunds & Cancellations
- Refunds are offered only before work begins.
- Partial refunds may be issued based on completed project phases.
- Monthly Studio management payments already charged are non-refundable.
- Cancellation of subscriptions applies to future billing only.
6. Ownership and Licensing
Upon full payment:
- You own all final deliverables including your Studio platform, design, content, and data.
- We retain ownership of internal tools, frameworks, reusable components, and proprietary methodologies.
- We retain a perpetual right to showcase completed work in portfolios, case studies, and marketing materials.
7. Credentials & Sensitive Access
You may provide:
- Existing software and platform credentials for migration
- API keys and third-party platform access
- Media libraries and content files
We will:
- Store credentials securely within our client portal
- Use them only to perform contracted services
- Restrict access to authorized personnel
8. Project Timelines & Delays
Timelines depend heavily on client responsiveness. If approvals or required materials are delayed, project timelines may extend accordingly.
We are not responsible for delays caused by third-party providers or hosting platforms.
9. Third-Party Tools and Integrations
We may use or integrate services including:
- Railway, Vercel
- Stripe, Affirm
- Google Analytics, PostHog
- Resend
- OpenAI API, Anthropic API
- Hosting or cloud partners
We are not liable for outages, failures, pricing changes, or data issues originating from third-party providers.
10. Warranties & Limitations
We provide services "as-is" and do not guarantee:
- Specific traffic, revenue, or business outcomes
- SEO rankings or marketing performance
- 100% uptime or error-free functionality from third-party platforms
Post-Launch Support
- A 30-day support period is included after Studio launch for bug fixes and minor adjustments.
- Continued support and Studio management requires an active subscription.
Limitation of Liability
To the fullest extent permitted by law, we are not liable for:
- Loss of revenue or business opportunities
- Data loss
- Service interruptions
- Issues caused by client edits or third-party systems
11. Termination
We may suspend or terminate services if:
- Payments fail
- Terms are violated
- Abusive or unsafe communication occurs
- Illegal or unethical activity is detected
Clients may cancel subscriptions anytime; cancellation applies to future billing.
12. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflicts of law.
